Corporate Communication, as used herein, refers to any document issued or to be issued by Medlive Technology Co., Ltd. (the “Company”) for the information or action of shareholders, including, but not limited to, the directors’ report and annual accounts together with a copy of the auditor’s report, the interim report, a notice of meeting, a listing document, a circular and a proxy form.
The English and Chinese versions of all Corporate Communications are available on the Company’s website (http://ir.medlive.cn) and the HKEXnews website. Shareholders and investors who would like to be notified when the Company publishes its Corporate Communications on the HKEXnews website can register for the News Alerts service in the Market Data section of the HKEX Market website.
Pursuant to the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and the Company’s articles of association, from 31 December 2023, the Company supplies Corporate Communications (other than Actionable Corporate Communication) to shareholders by electronic means through publication on the Company’s website (http://ir.medlive.cn) and the HKEXnews website (“Electronic Version”), provided that the relevant shareholders have consented or deemed to have consented to receiving the Electronic Version.
Where a Corporate Communication is issued to seek instructions from the Company’s registered shareholders on how they wish to exercise their rights or make an election as shareholders (“Actionable Corporate Communication”), the Actionable Corporate Communication will be sent to registered shareholders individually by email (where functional email addresses have been provided to the Company) or post to the shareholders’ addresses as they appear in the Company’s register of members (where functional email addresses are not made available to the Company). For the avoidance of doubt, Actionable Corporate Communications do not include notices of general meetings and proxy forms.
The Company will notify each registered shareholder (and any new registered shareholder) about the above arrangement, including that for the request for hard copies or the receipt of the Electronic Version of all Corporate Communications (other than Actionable Corporate Communications). If the Company does not receive any response from a registered shareholder indicating his/her/its objection to access Corporate Communications by electronic means through the Company’s website within a period of one month, the registered shareholder will be deemed to have consented to electing the Electronic Version instead of receiving hard copies.
If a registered shareholder wishes to receive hard copies of the Corporate Communications, he/she/it should send a written request by email to the Company (email address: ir@kingyee.com.cn) setting out his/her/its full name and address and a scanned copy of the letter to the registered shareholders from the Company seeking its instruction or a scanned copy of the relevant share certificate. Such request shall be valid for a calendar year. If a registered shareholder wishes to continue to receive Corporate Communications in future calendar years in hard copy form; he/she/it shall send a written request by email to the Company (in the manner as stated above) by the end of each calendar year.
Non-registered shareholders may also notify the Company his/her/its request to receive hard copies of Corporate Communications through HKSCC.
Upon posting of Corporate Communications on the Company’s website, the Company will despatch the hard copies of the Corporate Communications to the addresses of the registered shareholders and non-registered shareholders who have requested to receive hard copies.
Registered shareholders and non-registered shareholders may at any time change the means of receipt of Corporate Communications by giving written notice to the Company by email (email address: ir@kingyee.com.cn).
